Nimbus 2017 Mix Contest Rules

This year the Nimbus Mix contest is hosting one category for High School students.

Basic Rules for All Entrants:

  • To be eligible you must:
    • be a legal resident of Canada (excluding Quebec);
    • submit your recording and documentation electronically according to the contest rules and prior to the deadline;
  • Limit of one (1) entry per person.
  • Not be currently enrolled in, and/or a graduate of Nimbus School of Recording & Media prior to close for submissions, April 28th, 2017.
  • Previous years’ winners are not eligible.
  • Feel free to add instruments, or edit/remix tracks as creatively as you see fit. You may use any hardware and software tools you choose.
  • Entries must be the sole work of the entrant, with no help from friends, family, mentors, or other advisors. The selected entrants will be required to participate in an interview after being notified in order to determine that the submission was the sole work of the entrant.
  • Contest not valid in the Province of Quebec.
  • Entries will be judged based on skill, and the odds of winning are dependent on the number and quality of eligible entries received. Judging criteria for all entrants will include but not be limited to the following:
    • Balance - Have the volume levels of mix elements been balanced so that all elements can be heard?
    • Clarity - Are all frequencies within the hearing spectrum well represented with no areas over crowded?
    • Technique - Is the stereo spectrum being used effectively? Does the mix exhibit good use of dynamics? How well have effects been incorporated in the mix?
    • Musicality - Does the mix have that special quality that makes it interesting to listen to?
  • Do not use any music, vocals, lyrics or other material in your mix/remix that violates any third party rights, including without limitation, copyrights.
  • Warner Music Canada owns the original tracks and stems, as well as your resulting mix made from the original stems. No distribution or commercial release of either the original stems or your resulting mix/remix is permitted.
  • There are four(4) prizes in total to be won, consisting of scholarships to attend the Nimbus School of Recording & Media in Vancouver, B.C. with an approximate aggregate prize value of $50,000 CAD. The prizes must be accepted as awarded and cannot be transferred, assigned, substituted or redeemed for cash.

Basic Rules for High School Students

  • High School students must:
    • be currently enrolled in a Canadian High School at the time of entry;
    • have the previous consent of a legal guardian if under the age of majority in British Columbia (19 years of age) at the time of entry.
  • Prize winners who have received their high school diploma must redeem their prize within 2 years. Prize winners who have not received their high school diploma as of the prize date must redeem their prize: i) within 2 years of receiving their high school diploma; or, 2) the date they reach the age of 21 years, whichever occurs first.
  • There are four prizes consisting of scholarships to attend the Nimbus School of Recording & Media in Vancouver, B.C. with an approximate aggregate prize value of $50,000 CAD.

In the case of any conflict or contradiction between these Basic Rules and the Official Terms and Conditions, the Official Terms and Conditions will govern.

Official Terms and Conditions:

THESE RULES ARE THE STANDARD TERMS AND CONDITIONS APPLICABLE TO THE CONTEST (THE “CONTEST”) THAT MAY BE ENTERED THROUGH THE “MIXING CONTEST” LINK ON THE CONTEST WEBSITE (AS DEFINED BELOW) HELD BY NIMBUS SCHOOL OF RECORDING ARTS (“NIMBUS”) AND SPONSORED BY WARNER MUSIC CANADA (“WARNER”). THE CONTEST IS INTENDED TO BE CONDUCTED IN CANADA ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO APPLICABLE CANADIAN LAW. CONTEST IS NOT VALID IN THE PROVINCE OF QUEBEC. NO PURCHASE IS NECESSARY. PARTICIPANTS UNDER THE AGE OF MAJORITY IN BRITISH COLUMBIA AT THE TIME OF ENTRY MUST HAVE THE PERMISSION OF A LEGAL GUARDIAN BEFORE ENTERING. VOID IN WHOLE OR IN PART WHERE PROHIBITED BY LAW. ENTRY IN THE CONTEST CONSTITUTES ACCEPTANCE OF THESE CONTEST RULES (THE “CONTEST RULES”).

Definitions

  • “CONTEST SPONSORS” - Nimbus School of Recording & Media and Warner Music Canada.
  • “AUDIO ASSETS” - Multi-track stems of the songs “21 Days” by Scott Helman, “Stereo” by Courage My Love, and “Cool WIth That” by Brett Kissel.

1. ELIGIBILITY.

  • To be eligible to enter the Contest, an individual must:
    • be a legal resident of Canada (excluding Quebec);
    • be currently enrolled in a Canadian High School at the time of entry;
    • have the previous consent of a legal guardian if under the age of majority in British Columbia at the time of entry;
    • submit his or her remix recording and documentation electronically according to the rules and prior to the deadline;
    • not be under any contractual obligation to any third party (including, without limitation, any record label or music publisher) which would prohibit or might prohibit them from participating in any element of the Contest.
  • Contest is not valid in the province of Quebec.
  • By entering this competition, the entrants grant all consents required, authorizes Nimbus to broadcast, publish and disseminate his/her name, city of residence, photograph and likeness, in connection with any promotion or publicity, and/or for general news, entertainment and information purposes.
  • Employees of the Contest Sponsors as well as their parents, siblings, spouses, children, and persons domiciled with an employee of the Contest Sponsors are ineligible to enter. Additionally, employees of parent companies, subsidiaries, divisions, as well as promotional and advertising agencies hired by the Contest Sponsors are ineligible to enter.
  • Previous Nimbus Mix Contest winners are not eligible to enter.

2. CONTEST PERIOD.

  • The contest shall start as and when announced by Nimbus and, unless otherwise earlier amended or terminated by Nimbus under these Contest Rules, shall conclude upon completion of all processes and procedures related to administration of the Contest as contemplated in these Contest Rules.
  • Digital downloads of the Audio Assets will be made available on the Contest website on March 30th, 2017.
  • Entries will be received until April 28th, 2017.
  • Winners will be announced on or before June 6th, 2017.
  • Nimbus reserves the right to cancel this Contest at any time for any reason.

3. HOW TO ENTER.

  • No purchase necessary. To enter, download the Audio Assets from the contest website at http://nimbusmixcontest.ca. Mix the tracks into a stereo file using any hardware and software tools you choose and in the format specified on the contest website. Feel free to add instruments, or edit/remix tracks as creatively you see fit. Submit the final mix and any requested entry forms as instructed by the contest website at http://nimbusmixcontest.ca prior to the entry deadline of April 28th, 2017.
  • Limit of one (1) entry per person. In the case of multiple entries of one or more of the songs available, only the first entry will be considered for the Contest and the remainder will not be considered.
  • All submissions must be the sole work of the entrant, with no help from friends, family, mentors, advisors, or other third parties. Prize winners will be required to participate in an interview after being notified in order to determine that the submission was the sole work of the entrant. Nimbus has full right and authority to disqualify any entrant if Nimbus has any knowledge, reasonable belief or concern that the entrant received assistance on the submission, or lacks the knowledge required to have produced the submission on his or her own.
  • All entries become the sole property of Contest Sponsors and will not be returned for any reason. Contest Sponsors retain the right to reuse, repost, publish, edit, distribute, and share submissions as they see fit in context to the promotion of the event. Entries must be received prior to the deadline for entry for the Contest. Entries will be declared invalid if they are late, illegible, incomplete, damaged, irregular, mutilated, forged, garbled or mechanically or electronically reproduced. No communication or correspondence will be guaranteed with entrants except with those selected as a potential prize winner.
  • No watermarks, signatures, copyright notices, or digital rights management may be added to any submission. Mixes must not contain material which is (or promoting activities which are) harmful, threatening, abusive, disparaging, harassing, vulgar, obscene, hateful, pornographic, or libellous or which has other inappropriate content, or is otherwise objectionable as determined by Nimbus in its sole discretion.

4. PRIZES.

  • The four Nimbus scholarships available to be won have an approximate combined retail value of Fifty Thousand Canadian Dollars ($50,000 CAD). The approximate retail value of the prizes represents Nimbus’ good faith determination. That determination is final and binding and cannot be appealed. If the actual values of the prizes are less than the stated approximate retail value, the difference will not be awarded in cash.
  • One set of prizes will be awarded to high school students:
    • First Place: a scholarship to attend Nimbus School of Recording & Media in the amount of Twenty Five Thousand Canadian Dollars ($25,000 CAD) (“Grand Prize”).
    • Second Place: a scholarship to attend Nimbus School of Recording & Media in the amount of Ten Thousand Canadian Dollars ($10,000 CAD) (“2nd Place Winner Prize”).
    • Third Place: a scholarship to attend Nimbus School of Recording & Media in the amount of Five Thousand Canadian Dollars ($5,000 CAD) (“3rd Place Winner Prize”).
    • Public Vote: a scholarship to attend Nimbus School of Recording & Media in the amount of Ten Thousand Canadian Dollars ($10,000 CAD) (“Popular Vote Winner Prize”).
  • The prizes must be accepted as awarded and cannot be transferred, assigned, substituted or redeemed for cash. The prizes must be redeemed by attending classes at Nimbus in person while meeting standard minimum syllabus requirements for grades and attendance for the life of the school period.
  • All Nimbus practices and policies will apply to the winner’s enrolment and attendance at Nimbus. A copy of the Nimbus Student Handbook is available upon request. Without limiting the generality of the foregoing, Nimbus retains the right to expel any prize winner and remove the scholarship at any time without compensation if the winner is not meeting minimum requirements in grades or attendance as specified by the school syllabus or student handbook.
  • If a Selected Entrant cannot be reached by 5:00 p.m. (PST) on the contest closing date or a prize notification letter or any prize is returned as undeliverable, or a selected entrant is unable or unwilling to comply with the Contest rules, the prize will be forfeited.
  • In the High School student category, prize winners who have received their high school diploma must redeem their prize within 2 years. Prize winners who have not received their high school diploma as of the prize date must redeem their prize: i) within 2 years of receiving their high school diploma; or, 2) the date they reach the age of 21 years, whichever occurs first.

5. WINNER SELECTION

  • Entries will be judged based on skill, and the odds of winning are dependent on the number and quality of entries. Judging criteria for all entrants will include but not be limited to the following:
    • Balance - Have the volume levels of mix elements been balanced so that all elements can be heard?
    • Clarity - Are all frequencies within the hearing spectrum well represented with no areas over crowded?
    • Technique - Is the stereo spectrum being used effectively? Does the mix exhibit good use of dynamics? How well have effects been incorporated in the mix?
    • Musicality - Does the mix have that special quality that makes it interesting to listen to?
  • The submissions will be judged by industry experts at the discretion of Nimbus. The decision of the judges will be final and will be binding on all entrants. Judge evaluations and comments will not be provided to entrants. The Popular Vote Prize will be determined based on the total votes received for Entries on the Contest website.
  • Winners will be notified within 30 days of completion of the judging process, and will be required to sign and return a prize acknowledgement form within 30 days of the notification being sent. Failure to return the acknowledgement form within 30 days will result in the selected entrant’s claim to any prize being revoked, and Nimbus has the right to present that prize to another eligible entrant according to the judging criteria.
  • Before being declared a winner of any prize, the selected entrants must have correctly answered a mathematical skill-testing question posed during a pre-arranged telephone interview or in person, without mechanical or other assistance. Before being declared a winner, such selected entrant will be required to sign a Declaration and Release Form confirming compliance with the Contest rules and acceptance of the prize as awarded and releasing the Contest Sponsors from any and all liability in association with the Contest or the prize.

6. CONTENT OF REMIXES.

Entrants hereby represent and warrant that all of the additional music, vocals, lyrics or other intellectual property included by entrant in the entrant’s remixes (other than the tracks provided on the http://nimbusmixcontest.ca website) are wholly original and that no music, vocals, lyrics or other intellectual property have been copied from any other source or otherwise violate any third party rights. Nimbus will not be responsible or held liable for the use of any music, vocals, lyrics or other intellectual property which are included in any submitted materials which have been copied from any other source.

7. INDEMNIFICATION BY ENTRANT.

By entering the Contest, entrants release and hold Contest Sponsors and their principals, shareholders, directors, officers, employees, agents and assigns harmless from any and all liability for any injuries, loss or damage of any kind to the entrants or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Contest, any breach of the Contest Rules, or in any Prize-related activity. The entrants agree to fully indemnify Contest Sponsors from any and all claims by third parties relating to the Contest, without limitation.

8. LIMITATION OF LIABILITY.

Contest Sponsors assume no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any Release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an entry. Contest Sponsors are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the administration of the Contest. Contest Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Contest Sponsors are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing or otherwise. Contest Sponsors are not responsible for any injury or damage to any entrant or to any computer related to or resulting from participating or downloading materials related to the Contest. Entrant assumes liability for injuries caused or claimed to be caused by participating in the Contest, or by the acceptance, possession, use of, or failure to receive any Prize. Contest Sponsors assume no responsibility or liability in the event that the Contest cannot be conducted as planned for any reason, including those reasons beyond the control of Contest Sponsors, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Contest and/or the Contest Website.

9. CONDUCT.

By participating in the Contest, each entrant agrees to be bound by the Contest Rules. Entrants further agree to be bound by the decisions of Nimbus, which shall be final and binding in all respects. Nimbus reserves the right, in their sole discretion, to disqualify any entrant found to be: (a) violating the Contest Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Contest, the Contest Website, or any related promotional website; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Nimbus’ and their affiliate’s property or service; and/or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Nimbus reserves the right to remove posts or physically from the location (if applicable), any Contest winner and/or his or her agent who breaks such rules and/or fails to behave appropriately and to disqualify such winner and/or agent.

10. PRIVACY / USE OF PERSONAL INFORMATION.

  • By participating in the Contest, each entrant:
    • grants to Nimbus the right to use his/her name, mailing address, telephone number, and email address (“Personal Information”) for the purpose of administering the Contest, including but not limited to contacting and announcing the winners;
    • grants to Nimbus the right to use his/her Personal Information for publicity and promotional purposes relating to the Contest in any and all media without further compensation unless prohibited by law;
    • acknowledges that Nimbus may disclose his/her Personal Information to third-party agents and service providers of Nimbus in connection with any of the activities listed in (i) and/or (ii) above; and
    • agrees to receive future Nimbus updates and emails and acknowledges that entrant can opt-out at any time and 'Unsubscribe' by notifying info@nimbusrecording.com.
  • Nimbus will use the entrant’s Personal Information only for identified purposes, and protect the entrant’s Personal Information by:
    • limiting the number of people who view or process information only to those relevant to the needs of managing the contest;
    • the use of computer passwords to protect data files;
    • keeping hardcopy backup files in a restricted area.

11. INTELLECTUAL PROPERTY.

All intellectual property, including but not limited to trademarks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by Nimbus and/or their affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

All entrants to the Contest acknowledge that, as between the entrant and Contest Sponsors, Universal will own all results and proceeds including copyright in and to the entrant's remix submitted hereunder. To the extent entrant owns same, entrant hereby assigns such rights to Universal in perpetuity. Entrant waives any and all moral rights in and to the remix and the mixes created hereunder. Entrant acknowledges that Universal may commercially release or otherwise exploit the remix in any manner it deems fit, now or hereinafter invented, without territories limitations, and that entrant shall not be entitled to any payment of any kind as a result of such release or other exploitation. Entrant hereby agrees to indemnify Contest Sponsors from any and all breaches of this section and any liability, costs or expenses associated therewith.

12. TERMINATION.

Nimbus reserves the right, in their sole discretion, to terminate the Contest, in whole or in part, and/or modify, amend or suspend the Contest, and/or the Contest Rules in any way, at any time, for any reason without prior notice.

13. LAW.

These are the official Contest Rules. The Contest is subject to applicable federal, provincial and municipal laws and regulations. The Contest Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over Contest Sponsors and/or the Contest. All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Rules or the rights and obligations as between the entrant and Nimbus in connection with the Contest shall be governed by and construed in accordance with the laws of the province of British Columbia including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws.

14. LANGUAGE DISCREPANCY.

In the event of any discrepancy or inconsistency between the terms and conditions of the Contest Rules and disclosures or other statements contained in any Contest-related materials, including but not limited to the Contest entry form, or point of sale, television, print or online advertising, the terms and conditions of the Contest Rules shall prevail, govern and control.

Nimbus School of Recording & Media
